Prince Jenkins, J.D., B.A.
Prince Jenkins is a telecommunications regulatory
attorney who has extensive management experience with international
and national telecommunications companies. Mr. Jenkins most recently
served as Project Director for the Bahamas Telecommunications Reengineering
project.
Mr. Jenkins was formerly the Acting Vice-President
of Regulatory and Industry Policy at Intermedia Communications,
where he was involved in strategic planning, policy development
and advocacy. He has previously served as senior legal counsel at
a successful start up DSL Operator, where he advised management
regarding the legal and regulatory implications of entry into the
telecom market. Prince Jenkins has also served as a regulatory and
interconnection attorney for MCI Telecommunications. While at MCI,
he was responsible for monitoring implementation of MCI's regional
interconnection agreement with an incumbent operator and initiating
enforcement actions if necessary, to persuade the incumbent operator
to abide by the terms of the agreement.
Mr. Jenkins is also an experienced international
telecom consultant with extensive international consulting experience
in Africa, the Caribbean, Latin America and the United States. He
has served as a Legal and Policy Advisor to the telecommunications
regulator of El Salvador--Superintendencia General de Electricidad
y Telecommunicaciones ("SIGET"), the Namibian Communications Commission
(NCC) and the Rwanda Utilities Regulatory Authority where he helped
to advise and establish a new regulatory agency in the Republic
of Rwanda. Mr. Jenkins' areas of expertise include drafting telecom
sector reform legislation; privatization matters, regulatory capacity
building, and representing operators and stakeholders before public
utility regulators.
Mr. Jenkins is a graduate of Georgetown University
Law School and Rutgers University.
Julius D. Kearney, J.D., B.A.
Julius Kearney is an attorney and a former
state Public Utility Commissioner. Mr. Kearney is also an experienced
international consultant who has worked extensively on telecommunications
sector reform and privatization in Africa, Eastern Europe, Latin
America, the Caribbean and the United States. Mr. Kearney has served
as a legal and regulatory advisor to a number of international entities
including the Lesotho Telecommunications Regulatory Authority, the
Rwanda Utilities Regulatory Authority (RURA), the Bahamas Telecommunications
Company (BTC), the telecommunications regulator of El Salvador uperintendencia
General de Electricidad y Telecommunicaciones (IGET) , the National
Communications Commission in the Republic of Georgia; and the Agency
for Telecommunications in Montenegro. Mr. Kearney responsibilities
included reviewing and analyzing telecom laws, regulations and competition
policies, developing Universal Access policies and procedures and
developing recommendations to regulators for improving such.
As a former Commissioner at the Arkansas
Public Service Commission, Mr. Kearney presided over numerous arbitrations,
rulemaking proceedings and other regulatory litigation involving
the telecommunications sector. Mr. Kearney has helped set policies,
rates and operating standards for a number of regulated industries
including the water, electricity, and natural gas sectors.
He is a graduate of Harvard Law School and
Harvard University.
Rogelio Peña, J.D., B.A.
Rogelio has over 20 years of legal experience
and has practiced administrative law for the last 14 years, with
the last 8 years primarily limited to communications law. Rogelio
has extensive state and local regulatory experience and he has litigated
or otherwise worked on a variety of issues related to the Telecommunications
Act of 1996 including Section 252 arbitrations, negotiation and
implementation of interconnection agreements, state certification
issues, and other matters.
As a former Senior Regulatory Attorney for
MCI Communications Inc, Rogelio represented the company before the
Oregon Public Utility Commission and Washington Utilities and Transportation
Commission. Rogelio's current practice includes handling telecom
matters before the Texas Public Utility Commission, as well as representing
clients before several other Western public utility commissions,
including the California Public Utilities Commission and the Public
Utilities Commission of Colorado.
Kent Jones, M.B.A., BBC
Kent has over 12 years of financial and management
experience most recently serving as Director Strategic and Corporate
Business Planning for a national Integrated Communications Provider
(ICP). Kent has worked on numerous mergers and acquisition projects,
capital formation projects and feasibility studies within the telecommunications
industry. He is recognized for an exceptional ability to develop
and execute business strategy with an emphasis on the interrelationship
of people, process and technology.
Kent received his MBA with a specialization
in finance from the University of Florida in 1994.

Gerald B. Breed, B.A., MBA
Mr.Breed has extensive experience in the
telecommunications and Internet industries with emphasis on business
planning, business development and operations. At Impressa.Com.
an Internet Company specializing in ecommerce software, Mr. Breed
was Vice President Business Development. Prior to his engagement
with Impressa, Mr. Breed worked more than 30 years at BellSouth,
where he held a number of executive positions including: General
Manager/Chief Operating Officer of BellSouth Chile, Group Manager-
Technology and Planning at Optus Communications, Sydney Australia
and Senior Director Data Services BellSouth International.
Mr. Breed helped to facilitate BellSouth's
international expansion strategy by serving on, or leading BellSouth's
Technical Evaluation Teams charged with conducting due diligence
on prospective wire line and wireless companies in Chile, Trinidad
and Tobago, Puerto Rico, New Zealand and Argentina. At Optus Communications
he was responsible for the long range network planning and expansion
of the nationwide wireless, long distance and fiber optics networks.
He also had responsibility for the network capital budget.
As a member of the team which established
BellSouth International, Mr. Breed was Managing Director Network
Services and he directed project teams in Guatemala, Thailand, China,
Australia, and Puerto Rico.
Mr. Breed has an Associate Engineering Degree
from Southern Polytechnic State University, a Bachelor of Arts Degree
from Oglethorpe University and a Master's of Business Administration
from Georgia State University.Mr. Breed
served as a Lieutenant in the U.S. Navy and held a Top Secret security
clearance.

CHARLES E. ZETTERSTROM, A.E.
Mr. Zetterstrom has over 40 years in the
telecommunications industry including extensive involvement in new
telecommunications start up ventures. Mr. Zetterstrom's expertise
is in network engineering, planning, construction, capital budget
development and operations. He is experienced in a wide range of
communications technologies including wireless, broadband and wireline
networks.
Mr. Zetterstrom recently completed a project
for a US nationwide broadband fiber optic network and prior to this,
he completed an assignment with Cingular as a Project Executive
responsible for upgrading their network in Los Angeles California.
Mr. Zetterstrom worked three years with Dynergy
Connect LP where he was responsible for the deployment of a nationwide
fiber optics network in the USA. Prior positions included fifteen
years As Executive Director BellSouth International where he was
responsible for development and operation management of cellular
wireless and long distance telephone networks.
He has held positions as Vice President of
Engineering and Operations, Executive Director, Director of Operations
and Director of Implementation. He has extensive national and international
experience including executive positions in China, Argentina, Chile,
Venezuela, Mexico, Peru, Middle East, Africa and
Israel. Mr. Zetterstrom has an Associates
degree in Engineering from El Camino City College and attended Loyola
University, Los Angeles.
C. H. (CHUCK) MANLEY, B.S.
Mr. Manley has more than 30 years experience
in the telecommunications industry and he has extensive experience
in management and operations in an executive position. As Executive
Director for BellSouth International, Mr. Manley was involved in
the startup and management of cellular companies in Ecuador, Guatemala,
Panama, Peru, Uruguay and Israel as well as business development
activities in Argentina, Brazil, and a number of other countries
in Latin America.
Mr. Manley has experience in mergers and
acquisitions and he has managed the development of wireless joint
ventures with local partners in Latin American countries. He has
performed economic and market research, provided business development
guidance, participated in financial modeling teams, developed business
plans for future expansion, and participated in licensing processes.
He has led implementation efforts including: budget development
and preparation, team building, hiring and training of personnel.
Mr. Manley received a Bachelor of Science
Degree from the Georgia Institute of Technology in Mechanical Engineering.
MICHAEL MOSCARITOLO, B.A.
Mr. Moscaritolo has served the telecommunications
industry for more than 30 years. He began his communications career
in 1970 with New England Telephone and subsequently held positions
at AT&T, New York Telephone, NYNEX, Bell Atlantic Mobile and Verizon.
He served in a variety of positions in engineering, network (wire,
wireless and broadband), as well as in the deployment of various
management methodology when at AT&T.
Prior to the Bell Atlantic/NYNEX merger,
Mr. Moscaritolo was Director of Engineering for NYNEX Mobile. He
was the lead Director in charge of aggressively growing their wireless
network (doubling it size). He accomplished this by generating an
entrepreneurial culture to minimize corporate bureaucracy focused
on increasing the footprint of the wireless communications to respond
to the customers needs not the networks. He shared oversight of
and responsibility for the restructuring of the network engineering
units for both NYNEX Mobile and Bell Atlantic Mobile. He also had
responsibility for the network capital budget. At Covad Communications
he became the National Director of Network Services where he was
instrumental in launching the nation's first deployment of a national
based Broadband Digital Subscriber Line (DSL) service. (3,000 Central
Offices (COs) in a 2½-year time frame), He also managed to save
25% ($3.5M/month) while running a nation wide transport network
while improving its uptime to 99.99%.

Engineering for Wentworth Institute; Boston, MA.
LYNDALL NIPPS, B.S.
Lyndall Nipps began his career in the telecommunication
industry in 1979 as a retail customer service representative in
the Napa Valley office with Pacific Bell/SBC (now known as AT&T.)
He specialized in pre-order, order, provisioning, billing & collections,
methods and procedures, interconnection performance measures, improving
results, personnel and union issues, and wireless interconnection
billing contracts.
Lyndall was eventually promoted to Director
of the Local Wholesale Customer Service Center (LSC-Southern Ca.).
Lyndall was recruited away from Pacific Bell/SBC by Allegiance Telecom
where he was responsible for developing and implementing back-office
methods and procedures for Allegiance Telecom's retail sales organization.
Lyndall later transferred to Allegiance's Regulatory Department
where he was promoted to Vice President, Industry Affairs. Responsibilities
included Bell System Companies competitive entry into inter-lata
long distance (271) , numbering subject matter expertise, end-to-end
process issues, negotiating performance measures, establishing benchmarks,
filing testimony, state level regulatory compliance, rates and tariffs,
assessments, policy and legislation.
Lyndall also served as a Director on the
Board of CALTEL in 2000, an industry regulatory and legislative
coalition. Lyndall was later recruited by Verizon Wireless and was
the Director for the Indirect Channel, Methods and Contracts.
Lyndall holds a Bachelor of Science degree
in Business Management from the University of Phoenix, and a Certificate
in Marketing Leadership from University of California at Berkeley,
SF-Extension Campus. He also holds training certificates for TQM
Team Leader Training and ISO9000.
RICHARD A. ROBISON, B.S., M.B.A., CFA
Mr. Robison held a range of positions in
market research, operations and financial and strategic planning
in addition to fifteen years in mergers and acquisitions (M&A).
During a more than thirty year career at BellSouth Corporation,
a Fortune 100 Telecommunications Service Provider, he worked closely
with the most senior management of that company and its joint venture
partners worldwide. He managed BellSouth Corporation's in-house
investment banking staff in its efforts to determine the valuation
and financial impacts of mergers, acquisitions, start-ups, divestitures
and joint ventures on the Corporation for over ten years.
He is experienced in all aspects of Corporate
Finance, including cost of capital and capital structure objectives
as well as financial analysis and modeling. As Executive Director
– Mergers & Acquisitions at BellSouth Corporation he managed deals
involving wire line and wireless telephone services, mobile data,
cable television, paging, yellow pages, commercial real estate,
internet services, computer equipment leasing and maintenance as
well as equipment sales and service, worldwide. He has extensive
knowledge of financial valuation theory, financial analysis and
all aspects of corporate finance and is skilled in deal negotiations.
At BellSouth he coordinated the efforts of
Sales, Marketing, Engineering, Legal, Tax, Accounting, Finance,
Treasury, Strategy and Corporate Development executives within the
company to determine the viability of new ventures, including determination
of total investment requirements, financing alternatives and project
specific return requirements.
He has worked directly with investment bankers
from all of the major banks including Merrill Lynch, Morgan Stanley,
Lehman Brothers and others worldwide. He has evaluated and concluded
transactions in the USA, China, Israel, Germany, Australia, New
Zealand, Singapore, Malaysia, Korea, India, Belgium, Netherlands,
United Kingdom, Denmark, Colombia, Brazil, Chile, Ecuador, Peru,
Guatemala, Panama, Nicaragua, Argentina and Mexico. Transactions
varied in size from a few million dollars to multi-billion.
Mr. Robison has a Master of Business Administration,
from Augusta State University, Augusta, GA, and a Bachelor of Science
in Business Marketing from Indiana University. He holds the Chartered
Financial Analyst (CFA) designation and is a member of the CFA Institute.
